Legally Binding Version: This English language version of the Terms of Service is the legally binding version. Translations into other languages are provided for your convenience only. In case of any discrepancy between the English version and a translation, the English version shall prevail.

Welcome to Pilates.Online. By accessing and using our services, you agree to these Terms of Service ("Terms"). Please review them carefully, as they govern your use of the app, website, and all services provided by Indigo Holdings Limited ("we," "us," or "our"), a company registered in the Ras Al Khaimah Free Trade Zone, United Arab Emirates.

1. Core Services and User Responsibilities

1.1 Core Service

Our primary service is a subscription-based platform providing access to a library of original Pilates and stretching videos.

1.2 Personal Instruction

Premium subscribers may access personalised Pilates guidance through direct messaging with your instructor. This feature is for informational purposes only and is limited to questions related to your Pilates practice. Your instructor is not available to respond to unrelated queries, and we reserve the right to monitor and moderate interactions to maintain a respectful, relevant environment.

1.3 Age Requirements

Our app content is suitable for all ages. To subscribe, you must be at least 18 years old. By subscribing, you confirm you meet this requirement.

1.4 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Please notify us immediately if you suspect any unauthorised access or breach of security.

1.5 Acceptable Use

Our direct messaging feature connects you with your instructor. When using this feature, you agree to:

  • Limit questions to topics related to your Pilates practice, including exercises, technique, equipment, workout environment, integrating Pilates with other activities, and general wellness questions relevant to your practice
  • Communicate respectfully with your instructor
  • Keep conversation content private and not publish, share, or distribute messages or instructor responses on social media, websites, or other platforms without our written permission

When using all our services, you agree to:

  • Not share, redistribute, record, or publicly display our video content
  • Not share your account credentials or allow others to use your subscription
  • Not attempt to access other users' accounts or data
  • Not use automated systems, bots, or scrapers to access the service
  • Not circumvent technical restrictions or copy-protection measures
  • Not use the service for any unlawful purpose

We reserve the right to suspend or terminate accounts that violate these guidelines. Serious violations may result in immediate termination without notice; minor violations will typically receive a warning before any action is taken.

1.6 Intellectual Property

All content on the platform, including videos, instructional materials, and other resources, is original and protected by copyright and intellectual property laws. Users are prohibited from sharing, copying, distributing, or otherwise disseminating content without express permission. Any unauthorised use of content may result in account suspension or legal action.

1.7 Your Feedback and Content

If you share feedback, testimonials, or other content with us, you grant us permission to use it for promotional purposes. We may edit for length or clarity, and will typically ask before featuring your words publicly.

2. Subscription and Billing

2.1 Free Trial

We offer a free trial period to new users, allowing access to our video library and related services for a limited time. The trial period ends automatically, with no action required from you and no payment taken unless you actively choose to subscribe.

At the end of the free trial, you will receive an invitation to subscribe. If you choose to subscribe, billing will begin on the date you complete your subscription.

Free trials are limited to one per person. We reserve the right to terminate trials that violate this limitation.

2.2 Billing and Payments

All payments are securely processed by Paddle.com Market Limited ("Paddle"), our authorised payment processor and merchant of record. By purchasing a subscription, you agree to Paddle's terms of service and privacy policy.

  • Payment Terms: Subscription fees are billed in advance on a monthly basis. Payment is processed at the beginning of each billing cycle.
  • Automatic Renewal: Your subscription will automatically renew at the end of each billing period at the then-current subscription rate. By subscribing, you authorise Paddle to charge your payment method on a recurring basis until you cancel. You may cancel at any time through your account settings or by contacting us.

2.3 Refund Policy

General: Subscription fees are generally non-refundable. If you cancel partway through a billing period, you'll retain access until the period ends but won't receive a prorated refund.

European Union Residents: You have the right to withdraw from this contract within 14 days of subscription without giving any reason. By starting a paid subscription and accessing premium content, you expressly consent to immediate delivery of digital content and acknowledge that you lose your right of withdrawal once access begins.

Australian Residents: Nothing in these terms limits your rights under the Australian Consumer Law. If our service has a major failure, you may be entitled to a refund.

Billing Issues: Refund requests for technical issues, billing errors, or service unavailability will be assessed on a case-by-case basis. Contact support@pilates.online for assistance.

2.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@pilates.online. Cancellation takes effect at the end of the current billing period. Once cancelled, your access to subscription services will end when the current billing cycle concludes.

2.5 Pausing Your Subscription

If you need a break, you can pause your subscription for 1 month or 3 months instead of cancelling. When you pause:

  • The pause takes effect at the end of your current billing period
  • You retain access until your paid period ends
  • Your subscription automatically resumes after the pause period
  • Your subscription price is preserved during the pause

You can resume your subscription early at any time through your account settings.

2.6 Price Changes

We reserve the right to adjust subscription fees for our services. In the event of a price change, we will notify you at least 30 days in advance, allowing you to review the changes. If you do not agree with the updated subscription fee, you may cancel your subscription before the new pricing takes effect. Price changes will apply to subsequent billing periods, not the current one.

2.7 Promotional Codes

Promotional codes are valid for the specified offer only, cannot be combined with other offers, and must be applied at checkout. Codes are non-transferable and may be withdrawn at any time. We reserve the right to cancel orders that misuse promotional codes.

3. Health Disclaimer

Important: Our content is provided for informational and educational purposes only, not as medical advice. Always consult a healthcare professional before beginning any new fitness programme, particularly if you have any medical conditions, injuries, or concerns.

Physical exercise carries inherent risks. By using our service, you acknowledge these risks and agree that Indigo Holdings Limited, its employees, and your instructor are not liable for any injury, damage, or loss arising from your participation in any exercise or activity accessed through our platform. You are responsible for exercising safely and within your own limits.

4. Security and Liability

4.1 Service Availability

While we aim to ensure uninterrupted access to our services, we cannot guarantee that the app and its features will always be available, error-free, or operate without interruption. Access to the app may be occasionally suspended or restricted for maintenance, updates, or unforeseen technical issues. We will make reasonable efforts to minimise disruptions and notify users of scheduled maintenance whenever possible.

4.2 Our Security Measures

We implement industry-standard security measures to protect your personal information, including:

  • Encryption of data in transit using TLS/HTTPS
  • Encryption of data at rest using AES-256 encryption
  • Access controls limiting personnel access to data on a need-to-know basis
  • Regular security assessments and updates

In the event of a data breach affecting your personal information, we will notify you and relevant authorities as required by applicable law, typically within 72 hours of becoming aware of the breach.

While we strive to protect your information, no method of transmission over the Internet or electronic storage is completely secure. We cannot guarantee absolute security but commit to promptly addressing any security incidents.

4.3 Limitation of Liability

To the fullest extent permitted by law, Indigo Holdings Limited and its affiliates, employees, instructors, and partners shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of data, loss of revenue, or personal injury arising out of or related to your use of the app or website.

Our liability for direct damages, if any, shall be limited to the amount paid by you for the subscription in the preceding twelve (12) months.

4.4 Third-Party Links

We may link to external websites or services for your convenience. We don't control these sites and aren't responsible for their content or practices. If you visit a third-party site, their terms and privacy policies apply.

4.5 Indemnification

If your actions result in a legal claim against us, you agree to cover our reasonable costs and damages. This includes claims arising from your misuse of the service, violation of these Terms, infringement of others' rights, or content you share through our platform.

5. Modifications and Updates

5.1 Terms Updates

We may update these Terms of Service periodically to reflect changes in our services, legal requirements, or business practices. Any modifications to the Terms will be posted on our website, with the "Last Updated" date at the top indicating the most recent revision.

5.2 Notification of Significant Changes

For significant changes affecting user rights or obligations, we will provide notice by email or via an in-app notification to ensure users are informed. Continued use of the app following any update signifies acceptance of the revised Terms. If you do not agree with the changes, you may discontinue using the service.

5.3 Service Modifications

We may modify features, functionality, or pricing with 30 days' notice. Pricing changes apply to subsequent billing periods only. If we discontinue the service, existing subscribers will retain access until the end of their current paid billing period.

6. Termination

We reserve the right to suspend or terminate your access to the app and its services at our sole discretion if we believe you have violated these Terms, engaged in unauthorised or abusive use, or compromised the security of our platform. In the event of termination, your subscription will be cancelled, and any remaining access to subscription services will be revoked.

7. Governing Law and Dispute Resolution

7.1 Informal Resolution

Before initiating any formal proceedings, you agree to contact us at support@pilates.online to attempt informal resolution. We will respond within 14 days.

7.2 Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Ras Al Khaimah Free Trade Zone (RAK FTZ), United Arab Emirates.

7.3 Jurisdiction

Any disputes arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts within the RAK Free Trade Zone. Nothing in this section prevents either party from seeking injunctive relief in any jurisdiction to protect intellectual property rights.

7.4 Arbitration

For any dispute not resolved informally, you and Indigo Holdings Limited agree to resolve the matter through binding arbitration administered by the Dubai International Arbitration Centre (DIAC) under its applicable rules. Arbitration will be conducted in English, and the arbitrator's decision is final and binding.

You agree that any dispute will be resolved individually. You waive any right to participate in a class action, class arbitration, or representative proceeding.

You may opt out of this arbitration agreement by emailing legal@pilates.online within 30 days of accepting these Terms. If you opt out, disputes will be resolved in the courts specified in Section 7.3.

8. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable from these Terms and will not affect the validity and enforceability of any remaining provisions.

9. Entire Agreement

These Terms, together with our Privacy Policy, represent the entire agreement between you and Indigo Holdings Limited regarding your use of the app, website, and its services. They supersede any prior or contemporaneous agreements, communications, or understandings, whether written or oral.
